Terms & Conditions for HubSpot Modules

Please read these Terms & Conditions (“Terms”) carefully before purchasing or using any HubSpot modules, templates, or themes (“Products”) developed and sold by Eugene Dmytriiev (“we”, “us”, “our”) through the HubSpot Marketplace or our website at https://dmytriiev.es.

By purchasing, downloading, or using any of our Products, you (“Customer”, “you”) agree to be bound by these Terms. If you do not agree, do not purchase or use our Products.

1. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable license to use the Product on HubSpot portals in accordance with the plan you purchased. This license does not constitute a transfer of ownership. You may not sublicense, resell, redistribute, or share the Product with third parties outside your organization.

2. Permitted Use

You may:

  • Install and use the Product on the number of HubSpot portals specified in your purchase plan.
  • Customize the Product’s settings and content to suit your needs within the HubSpot CMS editor.
  • Use the Product for personal, commercial, or client projects, provided the Product itself is not redistributed.

3. Restrictions

You may not:

  • Redistribute, resell, lease, or sublicense the Product or any derivative works, whether modified or unmodified.
  • Remove or alter any proprietary notices, labels, or marks on the Product.
  • Use the Product in a way that violates HubSpot’s Terms of Service or Marketplace policies.
  • Reverse engineer, decompile, or attempt to extract the source code of the Product beyond what is normally accessible within HubSpot’s developer tools.
  • Share access credentials or transfer the Product to portals not covered by your license.

4. Pricing & Payment

All prices are listed on the HubSpot Marketplace or on our website at the time of purchase. Payments are processed through the HubSpot Marketplace payment system or other payment processors as specified. Prices are subject to change without prior notice; however, any price change will not affect orders already completed.

5. Refund Policy

Due to the digital nature of our Products, all sales are final and no refunds will be issued. If you experience any technical issues with a Product, please contact us at eugene@dmytriiev.es. We are committed to supporting you and will work to resolve any problems that arise during your use of the module.

6. Support & Updates

Each Product purchase includes:

  • Bug fixes and compatibility updates for a period specified on the Product listing (typically 12 months from purchase).
  • Email support for installation and configuration questions at eugene@dmytriiev.es.

Support does not include custom development, third-party integration troubleshooting, or modifications beyond the Product’s intended functionality. Extended support or custom work may be arranged under a separate agreement.

7. Intellectual Property

All Products, including but not limited to code, design, documentation, and related assets, are and remain the intellectual property of Dmytriiev Web Dev Studio. Your purchase grants a license to use the Product — it does not transfer ownership of any intellectual property rights.

8. Product Compatibility

Our Products are designed to work with the HubSpot CMS platform. We do not guarantee compatibility with all HubSpot plans, third-party integrations, custom code, or future HubSpot platform updates. It is the Customer’s responsibility to verify that their HubSpot plan supports the features required by the Product before purchasing.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Dmytriiev Web Dev Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use or inability to use the Product.

Our total liability for any claim arising from or related to a Product shall not exceed the amount paid by you for that Product.

10. Disclaimer of Warranties

Products are provided “as is” and “as available.” We make no warranties, express or implied, regarding the Products, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Products will be error-free or uninterrupted.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dmytriiev Web Dev Studio and its owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Products, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to revoke your license and terminate your access to a Product if you breach any of these Terms. Upon termination, you must immediately cease all use of the Product and remove it from your HubSpot portal(s).

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our Products after any changes constitutes acceptance of the revised Terms.
